EMPIRE RESORTS

Empire Resorts (the “Company”) is a public company whose common stock is traded on the NASDAQ Global Market under the symbol "NYNY." Our subsidiary, Monticello Raceway Management, Inc., owns and operates the Monticello Casino & Raceway in Monticello, NY. The 230-acre Raceway, located approximately 90 miles northwest of New York City, includes a gaming and entertainment complex that features over 1,000 video gaming machines and one of the nation's largest, all-weather harness horse racing tracks. The Casino features many of the same exciting slots found in Atlantic City and Las Vegas, and offers live entertainment and dining.

In August of 2009, the Company entered into an Investment Agreement with Kien Huat Realty III Limited (“Kien Huat”) pursuant to which $55 million in new equity capital will be invested in the Company by Kien Huat in two tranches in exchange for Common Stock, representing just under 50% of the voting power of the Company. Kien Huat affiliates previously financed the startup of the Foxwoods Resort & Casino in Connecticut and the Seneca Niagara Casino in New York. The first tranche closed on August 19, 2009. The second tranche is subject to stockholder approval.

Empire Resorts also has a financial interest in the proposed Concord Casino and Resort, but is not required to contribute any investment capital. Upon completion, the Concord project will provide Empire with long-term cash flow through a percentage of gross gaming revenue and various fees.

RACEWAY

Scenic Monticello Raceway began operations on its lightning-fast half-mile track June 27, 1958. The raceway is located in the heart of the Catskills and offers year-round harness racing on one of the largest, all-weather tracks in the country. Many of the greatest names in the sport began their careers at Monticello Raceway.

Over the years, the track has been one of the most innovative in racing, and many of its promotions have gained national attention. One of the biggest – Rock 'N Racing – combined many famous legends (e.g. Frankie Valli & the Four Seasons; Ike & Tina Turner, Natalie Cole, Bobby Vinton, etc.) with racing programs. The racetrack has also hosted closed circuit championship boxing in conjunction with racing, which produced the track’s biggest attendance of 17, 495 patrons on June 20, 1980. Creative promotions like elephant races and athletes out-running horses have helped Monticello Raceway gain national recognition.

In 1975, Monticello Raceway was home to one of the richest races, when the track presented its $250,000 Monticello-OTB Classic, won by the Hall of Fame pacer Silk Stockings. This event, with its huge purses, continued through 1985. Today the rich New York Sire Stakes is the track’s leading racing series.

With the installation of video gaming machines in 2004, Monticello Casino & Raceway now offers a variety of exciting gaming amenities in conjunction with premier harness racing. Fun, friendly and easily accessible, the raceway is located at the junction of Routes 17 & 17B in Monticello, NY.
